Contract There are three elements that are necessary for an effective offer. The first is that there must be a serious intention on the part of the individual making the offer towards purchasing the product or service in case the offer is accepted. There also needs to be an element of objectivity to the offer, something which goes hand in hand with the serious intention element.

The second necessary element is that the terms of the offer need to be reasonably definite, meaning that the terms of the contract, the rights and obligations of each party can be easily identified and recognized by those involved. Finally, the offer and the main elements of the offer are to be communicated to the recipient, that is, to the offeree. With this in mind, the offeree receives a set of terms for a potential contract with the offeror.

If the offeree accepts these terms, the contract is considered binding to the two parties. There are several elements needed for an appropriate acceptance. First, the acceptance must be very clear, which means that the terms used by the offeree should be obvious in showing the acceptance on part of that party. Any bystander should be able to objectively understand and support the fact that the offeree has accepted the terms that have been proposed.

At the same time, the offer needs to be accepted (or not) before the timeframe that has been allocated for the offer has passed. Usually, the offer is valid only for a determined period of time. If that deadline has passed, the offer needs to be renewed if it is to be taken into consideration again and if an acceptance can still be valid under the terms of the contract. Additionally, no terms of the contract can be changed, including in terms of new clauses being added. 3.

A bilateral contract involves two parties that exchange a set of promises that determine the rights and obligations of each of the parties. As such, each of the parties will have a set of promises that they oblige to undertake if the contract is enforced. There are also returns for each of the parties in this type of contract. A unilateral contract is the type of agreement where only one of the parties of the contract promises to fulfill a set of obligations to the other party.

Beyond this, one of the main differences to a bilateral contract is that the acceptance does not need.
