Abstract

This paper describes the elements necessary for a contract between a film editor and a film group. First, it outlines the subjects that the contract should cover including names and identifying information for both parties;payment rate and frequency; expected duration of the project;duties of the editor; rights of the editor; rights of the film scripting group; duties of the film scripting group; and nondisclosure and non-compete provisions. Next, it provides a basic contract between the two parties.

In order to write the proposed personalse services contract, it is critical to include the following elements:

-names and identifying information for both parties;

-payment rate and frequency;

-expected duration of the project;

-duties of the editor;

-rights of the editor;

-rights of the film scripting group;

-duties of the film scripting group;

and nondisclosure and non-compete provisions.

Film/Script Editing Agreement

This agreement for Film Editing is entered into on March 7, 2012 by Charlie Chaplin (Chaplin), film editor (Chaplin) and Victor Price, Vice President of Hypothetical Films (Hypothetical Films) in his capacity as Vice President, and covers services for the film with the working title Underground Lives (Lives), a film about the lives of illegal immigrants in Texas.

Services

Subject to the terms and conditions of this Agreement Chaplin agrees to provide Hypothetical Films with film/script editing services related to Lives, including but not limited to editing work that has already been written, writing new material when necessary, attending project meetings, and interviewing people when necessary.

2. Payment and Terms

Hypothetical Films will pay to Chaplin the sum of $250 per day for every full day worked, with the definition of a full-day being 10 hours of work. Payments to Chaplin will be every second Friday; beginning the second Friday after Chaplin begins work for the company, with the final payment due to Chaplin no more than two weeks after his final work day.

3. Project Duration

The expected duration of the project is three months, and Hypothetical Films promises to pay Chaplin for a minimum of two months work as long as his work is conducted in a satisfactory manner, if the project terminates prior to two months (60 calendar days) after the parties enter into this agreement. Chaplin agrees to work for three months (90 calendar days) and to make himself available for up to an additional two months (60 days) as long as Hypothetical Films gives him written notice that they want him available 30 days prior to the project's original anticipated termination date. Client agrees to have the property, including carpets and windows, professionally cleaned prior to the staging date.

Hypothetical Films Duties

Hypothetical Films agrees to make all reasonable efforts to perform those things within its power that enable Chaplin to perform his job, including, but not limited to, informing him of meeting times, providing him with written script material, and facilitating interviews with the subjects of the documentary.

Exclusivity and Confidentiality

Chaplin agrees to work exclusively for Hypothetical Films while under contract and agrees that all professional material created during this time period, whether or not created intentionally for Lives, is the property of Hypothetical Films unless the parties enter into another contract exempting such creation from ownership. Chaplin agrees to maintain confidentiality about the project and only provide details about the project to people outside of the Hypothetical Films group when necessary to further his duties under the contract.
