OCP Proposal on Northrop Grumman Mergers and Acquisitions

Mergers are commonly characterized as the consolidation of two organizations into a single organization. Potential merger or acquisition partners are typically identified pursuant to some type of strategic fit. Strategic fit is broadly characterized as similarity between organizational strategies or complementary organizational strategies setting the stage for potential strategic synergy. Studies have shown that strategic fit does not necessarily make a merger successful.

The merging organizations must consider their organizations people orientation, attitudes toward innovation, customer service orientation, employee loyalty and attitudes toward growth. Even with a consensus on these issues, the merger still may not be successful. Employee problems have been estimated to be responsible for one-third to one-half of all merger failures.

Northrop Grumman has had numerous successful mergers since Northrop merged with the Grumman Corp. in 1994. Today, Northrop Grumman Corporation is a $25 billion global defense company, headquartered in Los Angeles, Calif. It provides technologically advanced, innovative products, services and solutions in systems integration, defense electronics, information technology, advanced aircraft, shipbuilding and space technology. Northrop Grumman has approximately 120,000 employees and operations in all 50 states and 25 countries. The corporation serves U.S. and international military, government and commercial customers.

The last three successful mergers that Northrop Grumman has accomplished were with Logicon, Litton PRC, and TRW. Bringing their total in all to 12. Because of these successful mergers, their corporate stock value has gone up and the corporation is now in a better position it in an industry dominated by giants.

My OCP will deal with why a corporation like Northrop Grumman has acquired so many other companies. I will discuss their organizational structure prior to theses mergers and how it changed afterwards. a) Relevance
Relevance refers to whether or not the issue being analyzed contributes to a deeper understanding of organization theory. That is, some issues may be less critical to an understanding of organization theory and change than others. For instance, compliance with the 2002 Sarbanes-Oxley Act, though required by law for all public companies that file a form 10-k with the Security and Exchange Commission, may not impact sufficiently upon specific applied changes in organizational strategy, structure, or processes. Therefore, if Sarbane-Oxley is chosen, it is the researcher?s responsibility to explain the theory building and application oriented relevance of Act-related change upon specified processes, structures, or strategies of the organization under study.

b) Timeliness
Timeliness refers to whether or not organizations are dealing with the issue in some systematic way through adaptations, changes, or reactions in strategies, structures, and/or processes. An example of timeliness is the impact of Internet applications upon the development and delivery of new goods and services (such as in financial products, education, or travel planning). However, the analysis of how overnight air express systems have impacted on the design and delivery of ground delivery services would be less timely. This is not to say that innovations in air or ground delivery do not continue to have relational impacts on strategies, structures, or processes; however, it is clear that these theoretical applications to business are in a more mature (older) phase of the organization?s life cycle.

c) Applicability
The chosen issue or topic should have demonstrable effects on other applications of theory and design. That is, no one theoretical application stands alone. It is the responsibility of the analyst to reveal by documentation (anecdotal, case history, empirical data, and/or third party testimonial) how organizations are adapting to the issue or how an organization (or group of organizations) is using an issue to shape future applications of strategies, structures, or processes.

I. Executive Summary

The purpose of the executive summary is to give the reader an overview of the essential components of the report. Two page executive summary. There are many ways to construct an executive summary, depending on the type of the report. For this report, the first idea presented in the Executive summary is that of declaring the type and nature of management change program of analysis. It also identifies the important strategic, structural, and/or process relationships affected by the change program. This should be composed of one or two paragraphs.

The second task of the Executive Summary is to briefly discuss the underlying assumptions of the change program (in terms of desired changes in strategy, structure, or processes). Any formal definitions or special terms are introduced here. This should be composed of one to two paragraphs.

The third task of the summary is to briefly identify findings of the operation of said change programs. Case histories may be referenced, data summarized (such as summary statistics), advantages and disadvantages referenced, and/or opportunities and problems encountered. III. Introduction

One of the purposes of the introduction is to provide a necessary and sufficient context to the researched issue. The introduction should not be, in any way, a mere reflection of the executive summary, however. That is, the introduction should leave the reader with a sense of issue identification, issue importance, issue operation, and relations to the issue. At the end of the introduction, the writer should be confident that the reader has been sufficiently informed of critical concepts and the orientation upon which the organizational subject is to be examined.

Obviously, the introduction ?introduces? the reader to the subject (the change program), but in doing so, the writer has to constantly ask him or herself if he or she is assuming prior knowledge (about the subject) on the reader?s behalf. Thus, while it is critical to give definitions, identify and distinguish important concept relations, and give a sense of appropriate organizational variables, it is equally important to write the introduction in such a way that the reader does not have to research the meaning of concepts used. At the same time, the introduction needs to be efficient. Information given in the introduction that does not somehow flow to or from and support the analysis will be considered extraneous to the reader as he or she completes the report. Things considered extraneous can lead to other misinterpretations about the purpose or intent of the report.

By the time the reader finishes the last paragraph of the introduction, s/he should clearly understand the importance of the change program. A well-written introduction does this by clarifying the context and the orientation of the paper.

At times, a brief history can help build the context; but do not write a long historical treatise! At other times, summary and/or anecdotal information helps to establish the context for the analysis; data may even be used if it helps focus the reader on the importance of the issue and the relations to be examined. The length of the introduction depends on the complexity of the subject; it often runs from one to three pages, however.


IV. Analysis of Change: (Your subtitle)

The purpose of the analysis section is to explicitly examine the issue, Which in this case is the merger/acquisitions of company Northrop Grumman . This clearly means that the issue is examined in terms of its influence or impact on other important issues (i.e.: some aspects of organizational strategy, structures, or processes). For each paper, this will be a unique task. One way to look at this task is to ask yourself, ?Of what am I informing the reader that isn?t obvious?? The difficulty with this criterion is that the meaning of ?obvious? can be very different from reader to reader.

The root of analysis is some form of planned comparison. A segment can hardly be called analysis if all it does is identify and describe; but note, that it is a requirement to
sufficiently identify and describe before you can examine how component parts of a process or an issue relate to (affect or influence) one another. It will become obvious to you as you edit and revise, that some forms of identification and description are necessary for you to proceed to analysis.

This section should take the fullest use of various forms of evidence to present the analysis. This may include such things as statistical data, anecdotal information, quotations, case histories, or reported findings of other analyses. In using evidence, you must be very careful to present an even-handed approach. Selectively ignoring information that tends to dis-confirm a position that you intend to take in the evaluation segment is a form of bias. Biases can usually be ?sniffed-out? by astute thinkers by the absence of perspective that can be detected with a few well-conceived questions.

If the reader suspects an explicit or implicit absence of a fair perspective, credibility of the analysis is at stake. This is because an analysis that ?misses? a major relationship or perspective is likely to lead to incomplete conclusions. While truly no analysis is ever perfectly complete, those analyses that miss major concepts or relationships tend to be less influential simply because the absence of a key relationship or concept means that the writer cannot presently contemplate the fullness of the relationship effects. Given the awareness of this problem, the analyses section should be oriented on the relationship issues that ?count the most? (that is, appeal to explaining the most important parts of issue). The analysis of relations section is the main portion of your paper; as such it will run anywhere from three to ten pages.


V. Interviewed Organization's Program

This section gives a brief summary of the Northrop Grumman?s program of change (its assumptions, purposes, goals, and objectives). The organization of this section will be somewhat unique in each paper, however, the reader should walk away with a clear idea of why the organization is attempting such a change and what goals it is seeking to accomplish through the program.

It is also very useful to identify your interview questions at this point.

VI. Comparisons Section: (Your subtitle)

This section of the paper actively compares literature modeling, prescriptions, and findings, with the purposes, applications, and findings of the host organization (as expressed by the executive granting the interview). Again, this is written in an objective, third person style. The emphasis is on comparing and contrasting noting any reasons for similarities and dissimilarities between what the literature prescribes and the organization applies.

In fact, no organization ever applies a model purely from the literature. Intervening considerations such as the organization's culture, its uses of technologies, systems of leadership and communications ? all moderate the applications. These issues should be made clear to the reader.



VII. Conclusion and Looking Towards the Future

The conclusion section looks at the overall impact of the issues and revisits the context that was established in the introduction. The conclusion should not dwell on repeating essential facts or relations already covered in the paper. Rather, the conclusion looks to the future (in terms of applications, directions, and implications of the organizational issue and relations).

A discussion of future applications, modifications, or implications is also appropriate in the final phase of the report. This is the one section wherein the author of the paper can, through reasoned substantiation, make prescriptive statements about the applications of the change program.

From Actions to Marketplaces
Amazon auctions (known as zShops) were launched in March 1999, in large part as a response to the success of eBay. Despite this, a year after its launch it had only achieved a 3.2% share of the online auction compared to 58% for eBay and it only declined from this point. Today, competitive prices of products are available through third-party sellers in the ?Amazon Marketplace? which are integrated within the standard product listings. The strategy to offer such an auction facility was initially driven by the need to compete with eBay, but now the strategy has been adjusted such that Amazon describe it as part of the approach of low-pricing.
Although it might be thought that Amazon would lose out on enabling its merchants to sell products at lower prices, in fact Amazon makes greater margin on these sales since merchants are charged a commission on each sale and it is the merchant who bears the cost of storing inventory and fulfilling the product to customers. As with eBay, Amazon is just facilitating the exchange of bits and bytes between buyers and sellers without the need to distribute physical products.

Amazon Media Sales

You may have noticed that unlike some retailers, Amazon displays relevant Google text ads and banner ads from brands. This seems in conflict with the strategy of focus on experience since it leads to a more cluttered store. However in 2011 Amazon revealed that worldwide media sales accounted for approximately 17% of revenue!

Amazon Marketing

Amazon does not reveal much about its marketing approach in its annual reports, but there seems to be a focus on online marketing channels. Amazon (2011) states ?we direct customers to our websites primarily through a number of targeted online marketing channels, such as our Associates program, sponsored search, portal advertising, email marketing campaigns, and other initiatives?. These other initiatives may include outdoor and TV advertising, but they are not mentioned specifically. In this statement they also highlight the importance of customer loyalty tools. They say: ?while costs associated with free shipping are not included in marketing expense, we view free shipping offers and Amazon Prime as effective worldwide marketing tools, and intend to continue offering them indefinitely?.

Case Assignment

In this module?s case assignment you will be introduced to the balanced scorecard concept and will begin to consider how organizations link strategy with the balanced scorecard approach. We will look at the interrelationship of strategy and the balanced scorecard approach in more depth later on in this course. For now, however, it is good to understand the fundamentals of the BSC and to consider examples of how organizations have integrated the BSC approach into their daily operations in a fashion that reflects the strategy of the respective organizations.

To prepare for this case assignment you are to start by reading the required readings identified on the background page. You?ll note that one of those articles includes:

After reading this article, formulate an argumentative essay around the following thesis statement:

Cattaraugus County ReHabilitation Center did an effective job of implementing a balanced scorecard approach in a fashion that reflects their organizational mission and vision.

If you do not think this thesis is accurate, you can argue that the Center did not do an effective job.

Assignment Expectations:

Your analysis should be structured in terms of the following four perspectives (you will be using essentially this same comparative evaluation framework for the first four modules of this course):

Introduction: In this part of your essay you will need to set up your argument by introducing your topic and presenting your position or thesis statement somewhere in this introductory paragraph.

Analysis: In this section you will present several arguments arguing in favor of your thesis statement. Make sure you discuss how the Center used the score card quadrants to align with organizational strategy (or how it failed to do so).

Conclusion: Wrap up your argument with a clear and cogent synopsis of your findings. Do your best to convince your reader (aka, your professor) as to your position.

Additional Instructions: Your argumentative essay should be 3 to 4 pages in length (not counting your title page or references). You must include a title page and a list references. APA formatting is preferred. Do not paste in sections of text into your essay. All of your work must be written in your own words. It?s OK to use a short quote now and again, but quotations must be in quotation marks and properly cited. In-text citations should be used anytime you are borrowing somebody else?s ideas, or information. That is to say, if you are borrowing a thought from a publication from G. Jetson?s article written in 2010, that section of text must be followed with (Jetson, 2010). Quotations, data, and general ideas (put into your own words) should all be cited.

The Five Branches of OD ? A Brief History
Organizational Development became recognized as a field through the combination of five major practices or branches.
The first branch (or practice) of OD emerged from National Training Laboratories. Laboratory Training (as the first branch is termed) is known for the creation and use of T-Groups -- small group designed to learn about intra/interpersonal and group dynamics (1950s).
The second branch, called Action Research and Survey Feedback, was developed from social scientist?s interest in applying research methods to manage change. Kurt Lewin was the primary author of the first two stems and is considered by many to be one of the original pioneers of OD (1940s and 1950s).

The third branch, Participative Management was based on the work of Renis Likert who characterized organizations as having four types of management systems (Exploitative authoritative, Benevolent authoritative, Consultative, and Participative group systems). Likert was also known for creating measures of attitude which later became known as the 5 point Likert scale.
The fourth branch focused on Productivity and the Quality of Work Life (QWL) which dealt with the integration of work and people, resulting in the establishment of self managed work groups (1950s to 1970s) and later developed into Employee Involvement initiatives (1970s to 1980s).
The last branch is the Strategic Change background which involves improving alignment between organizational strategy, design and external environment ? Richard Beckhard is credited with open systems planning in the Strategic Change background.
The purpose of this assignment is to assess the implications and relevance of your selected intervention and discuss why the intervention was successful or failing or promising.

1. Choose one of the five branches of OD Practice.
1st branch = Laboratory Training, 2nd branch = Action Research and Survey Feedback, 3rd branch = Participative Management, 4th branch = Quality of Work Life, and the 5th branch = Strategic Change.

2. Conduct an investigative search in the UoR database to gather details on the origin of one of the five practices of OD. A minimum of two research articles should provide enough coverage for your discussion.

In your discussion, you should address the following elements:

a. Identify the author(s) of the practice and a date or era to which it can be attributed.
b. Consider how the researcher?s work was regarded during that time and discuss any struggles or resistance encountered in establishing the background as a valid
practice.
c. In your conclusion, discuss the implications of the practice and the relevance to organizational interventions today (consider where, when, how, to whom and under which circumstances might these interventions be used). Here is where you use your personal knowledge and experience ? based on what you have read, develop and discuss your ideas about the quality and practicality of the practice using conventional knowledge.
